Dr. Oz’s Transformation Nation: Million Dollar You Contest (the “Contest”) is sponsored by Sharecare, Inc., 3280 Peachtree Road, Suite 600, Atlanta, GA 30305 ("Sponsor"). The Contest is governed by these official rules (“Official Rules”). By participating in the Contest, each individual agrees to abide by these Official Rules and understands that the results of the Contest, as determined by Sponsor, its agents, and the judging panels, are final in all respects. The Contest is subject to all federal, state, and local laws and regulations and is void where prohibited law.
ELIGIBILITY
The Contest is open only to residents of the United States (and D.C.), excluding Maine, who are 18 years of age (or the age of legal majority in that individual’s state of residence) or older as of the start of the Contest. Participation constitutes each entrant’s full and unconditional acceptance of these Official Rules. Eligibility to receive a prize is contingent upon entrant fulfilling all requirements as set forth in these Official Rules. Employees, officers and directors of Sponsor, Weight Watchers International, Inc., ZoCo Productions, LLC, and any other sponsors participating in the Contest (collectively, "Contest " and their parents, subsidiaries, consultants, agents, representatives and suppliers, and the Contest judges, as well as members of their immediate families (defined as parents, spouses, children, siblings and grandparents) and individuals living in the same household as those individuals, are not eligible to enter or win. Sponsor reserves the right to verify the eligibility of each entrant and to disqualify any entrant that Sponsor deems does not meet the eligibility requirements. ENTRANTS UNDERSTAND AND AGREE TO ABIDE BY A SAFE RATE OF WEIGHT LOSS OF NOT MORE THAN 2 POUNDS PER WEEK ON AVERAGE AFTER THE FIRST THREE WEEKS. CONTEST DATES
Contest Period: The Contest begins on 9/26/11 and ends on 5/23/12. Entry Deadline: All entries must be received by 4/9/12. Initial Weigh-In Periods: 9/26/11 through 2/26/12. Final Weigh-In Period: 4/2/12 through 4/9/12.
HOW TO PARTICIPATE
To participate in the Contest, visit http://sharecare.doctoroz.com/ and follow the instructions to register for a free Sharecare account ("Contest Website"). Complete the initial steps on the Contest Website in accordance with the Official Rules as follows ("Initial Contest Requirements"): Complete the Ultimate Health Quiz to assess your starting point; Tell a Friend by sending messages through email, Facebook, or Twitter using the appropriate link provided on the Contest Website; Calculate Your Body Mass Index ("BMI") by entering your weight data on the Contest Website and verifying your weight at a participating Weight Watchers location through an initial weigh-in ("Initial Weigh-In") during the Initial Weigh-In Period and a final weigh-in ("Final Weigh-In") during the Final Weigh-In Period; Connect With Your Doctor or health professional during the Contest Period, or within at least one year prior to the start date for the Contest, to obtain your annual checkup health information and enter such information on the Contest Website; Learn Your Family’s Health History by completing an family history information sheet on the Contest Website; Get More Sleep by completing a sleep quiz on the Contest Website; Assess Your Stress by completing a stress quiz on the Contest Website; Start New Fitness Habits by completing a fitness quiz on the Contest Website; and Test Your Knowledge by completing a knowledge quiz on the Contest Website.
ADDITIONAL TERMS AND CONDITIONS
The Contest Website will tell you how you can find participating Weight Watchers locations near you. At your Initial Weigh-In and Final Weigh-In, you will receive an Official Weigh-In Form for recording your verified weight on the date of the weigh in. You must retain all Official Weigh-In Forms you receive and present the original forms to Sponsor, or its agent, upon request, in connection with verification of eligibility or participation in this Contest. You are responsible for any costs, co-pays or other fees associated with traveling to a Weight Watchers location, visiting a doctor or other health professional, and otherwise participating in the Contest. Certain office visits, tests and laboratory reports may not be covered by your health plan. Check with your health plan provider regarding possible payment before undertaking any such visit or requesting tests or services.
CONTEST JUDGING—WINNER SELECTION
To be eligible for the first round of judging you must have completed Initial Contest Requirements prior to the Entry Deadline. You must record an Initial Weigh-In and a Final Weigh-In and you must also have, as of the date of your Final Weigh-In: (i) achieved a ten percent (10%) loss in body weight as entered by you on the Contest Website and verified on your Official Weigh-In Form during your Initial Weigh-In and Final Weigh-In; or (ii) achieved or maintained a healthy final BMI as entered by you on the Contest Website based on your weight verified on your Official Weigh-In Form during your Final Weigh-In. For purposes of judging the Contest and eligibility to win a prize, a healthy BMI is between 18.5 and 24.9. Selection of the Top 200
Sponsor representatives will rank the top 200 entrants to advance to the next judging round ("Top 200") on or around 4/9/12 based on all eligible contestants’ performance of the Initial Contest Requirements using the following criteria: Weight Loss or Improve your BMI—60% (based on "Weigh-In and Calculate Your BMI" performance); Social Engagement (based on "Refer a Friend" activity)—20%; and Health Knowledge (based on "Test Your Knowledge" performance)—20%. Each contestant will be scored based on Weight Loss or BMI improvement factors, but not both. The Weight Loss or BMI factor resulting in a higher ranking will apply along with the Social Engagement factor and Health Knowledge factor. In the event of a tie for the 200th contestant, all contestants who are the subject of the tie will advance to the next round of judging.
Selection of Top 50
A contest judging panel comprised of Dr. Oz show producers will contact the Top 200 on 4/10/12 for purposes of conducting an interview with each entrant regarding the entrant’s inspiration, challenges, and goals related to Contest. The Top 200 must also complete an essay describing their inspiration, challenges, and goals related to Contest. Such interview may be taped or otherwise recorded. Essays must be sent to Sponsor in the manner requested by Sponsor and received by Sponsor by no later than 4/11/12 at 6 pm ET. Essays must not exceed 400 words in length and must be submitted in English. The judging panel will evaluate and judge the interviews and essays. The judging panel will select the top 50 entrants to advance to the next judging round ("Top 50") on or around 4/12/12 based on the interviews and/or essays using the following criteria: Transformation—40%; Inspiration—40%; and Communication Ability—20%.
Selection of 10 Finalists
The Top 50 will be evaluated and judged on or around 4/13/12 by a separate judging panel comprised of health experts. The judging panel will select ten (10) finalists (each a "Finalist") according to the following judging criteria: Health Achievements—40%; Transformation—40%; and Inspiration—20%.
Winner Selection
Between 5/7/12 and 5/13/12 (the "Voting Period"), visitors to the Contest Website will be allowed to vote for the Finalist they want to win the Contest in accordance with the instructions provided on the Contest Website based on the transformation and inspiration of each Finalist. The Finalist that receives the most votes during the Voting Period will be the potential winner, subject to verification. Results of the voting, as tabulated and verified by Sponsor (or its designee) are final in all respects. Sponsor (or its designee) may make efforts to monitor the voting. However, the Contest Entities are not responsible for ensuring the accuracy of the voting, and contestants agree that the Contest Entities are not liable for any malfunctions, inaccuracies, or errors related to the voting process and the results of the Contest. In the event of a tie in votes among any of the Finalists, the tie will be broken and the potential winner will be determined by the panel of judges and based on the judging criteria set forth above for selecting the Top 10.
CONTEST ADMINISTRATION
If any Top 200, Top 50, Finalist or potential winner is determined to be ineligible or not in compliance
with these Official Rules at any point, Sponsor reserves the right to disqualify that contestant and
designate another based on the criteria set forth above.
All decisions of the judging panels are final and binding in all respects.
The Top 200, Top 50, Finalists and potential winner will be notified by telephone or email according to the
contact information provided by that contestant. If any Top 200, Top 50, Finalist or the potential winner
cannot be reached by Sponsor (or its designee) on the dates set forth above, that potential Top 200, Top 50,
Finalist or winner shall forfeit and an alternate Top 200, Top 50, Finalist or potential winner according to
the judging criteria set forth above, time permitting.
The Top 200, Top 50, Finalists and potential winner must sign and return all required forms, including,
without limitation, eligibility prize acceptance and liability release forms, copyright license, and
applicable forms, to Sponsor as requested by Sponsor and within the time period set forth by Sponsor. If a
potential Top 200, Top 50, Finalists or winner fails to comply with these Official Rules or fails to return
all of the required forms within the time specified, he or she may be disqualified, and an alternate may be
selected by Sponsor according to the judging criteria, time permitting.
The Top 10 contestants may be required to submit to a background check. The final winner may be required to
submit to a medical exam. Sponsor reserves the right to disqualify a contestant if the results of that
individual’s background check or medical exam discloses information that leads the Sponsor to conclude that
the use of that individual in advertising or publicity for the Contest would bring Sponsor or other Contest
Entities into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Contest, Sponsor
or other Contest Entities, as determined by Sponsor in its sole discretion. A potential Finalist is not a
Finalist and has not won any prize until that individual has been verified and notified by Sponsor. Limit
one (1) Finalist per household address.
ADDITIONAL ENTRY REQUIREMENTS.
All components of an essay submitted in connection with this Contest must be the original creation of that
contestant. Modifying, enhancing, or altering a third party's preexisting work does not qualify as an
original creation. Essays must not have been previously released, distributed, licensed or made publicly
available, submitted in any other contest or promotion, in whole or in part, or have won any other award. By
entering this Contest, each contestant represents and warrants that he or she owns all right, title and
interest in the essay and has the authority to grant to Sponsor and other Contest Entities the rights
provided in these Official Rules. Each contestant agrees that the Sponsor and other Contest Entities are not
responsible for any unauthorized use of an essay.
Essays must not: (i) incorporate, violate or infringe upon any third-party proprietary or personal rights,
including without limitation copyrights, trademarks, trade secrets, patents, or privacy, property or
publicity rights of any other person or entity; (ii) violate any law or be inappropriate, indecent, harmful,
discriminatory, defamatory or obscene; or (iii) be unsuitable to be entered into this Contest for any reason
whatsoever and/or communicate messages or images or content inconsistent with the positive images and/or
good will to which the Sponsor wishes to associate.
By submitting an essay, each contestant hereby grants Sponsor and the members of the judging panel a
limited, worldwide, royalty-free, perpetual, irrevocable right and license to use, reproduce, and display
the essay, in whole or in part, for the purposes of administering and judging the Contest, awarding the
prize and publicizing the essay or winning entry as part of this Contest. By submitting an essay, contestant
acknowledges that Sponsor is not required to treat the essay as the confidential or proprietary work of the
contestant.
Sponsor reserves the right to verify the accuracy of any information provided in connection with this
Contest, and to otherwise investigate the eligibility of any contestant. A potential winner’s right to
receive the Prize shall be subject to such investigation and verification by Sponsor. Sponsor shall have the
right to disqualify any contestant that provides any false, inaccurate or misleading information. If there
are no compliant entries, the prize may not be awarded. Sponsor has no obligation to advise a contestant of
an incomplete or otherwise non-compliant entry. Sponsor is not responsible for lost, late, postage-due,
damaged, invalid, unintelligible, incomplete, garbled, or misdirected entries, all of which will be
disqualified.
PRIZE
One (1) Prize to be awarded: (i) US $1,000,000; and (ii) a trip for the winner and one other person selected
by winner to attend a taping of The Dr. Oz Show in New York, NY with such trip to be taken on the following
dates: arrival in New York 5/17/12, and departure on 5/19/12 (the
"Prize"). (Total ARV: US $1,003,000). Further details of trip schedule to be provided to potential prize
winner by Sponsor upon selection. Trip includes hotel accommodation for two people for two nights and either
ground or air (from major commercial airport closest to winner’s city of residence) transportation, at
Sponsor’s discretion. Actual value of the Prize depends on travel itinerary of the winner. Winner will not
be entitled to the difference, if any, between the ARV and the actual value of the Prize).
Trip must coincide with the dates of the show taping and potential winner must be available to attend the
taping, and promotional appearances for up to ten (10) days following the award of the Prize, or an
alternate winner may be selected based on the results of the online voting, as set forth above.
Except for the prize value, winner will not receive any additional monetary compensation or acknowledgement
for participation in the Contest, any advertisement or other materials.
It is the responsibility of the winner to arrive at the designated gateway city in time for each flight
included as part of the Prize trip with proper travel documentation. Winner is responsible for all required
travel documentation. Sponsor shall not be responsible or liable for requesting, obtaining or advising with
respect to any requirement travel documentation. Certain travel and security restrictions may apply and it
is the responsibility of winner to comply with all travel, security and other laws, regulations, airline
passenger and hotel rules that may apply to them. Sponsor shall not be responsible or liable in any manner
if a winner is unable to accept or use all or any portion of the Prize due to failure to qualify or comply
with these Official Rules or any law, regulation or other rules that apply to acceptance, receipt or use of
the Prize.
Airline schedules, travel arrangements and other aspects of the Prize are subject to change outside the
control of Sponsor. Sponsor will not be responsible or liable for any such changes and reserves the right to
substitute a prize of equivalent or greater value, in their sole and absolute discretion, if, for any
reason, all or any portion of the Prize, as described, is or becomes unavailable. If winner is not available
or fails to arrive at the required time of travel, fails to have proper and complete documentation for all
or any portion of the travel or prize elements associated with the Prize, or fails to comply with these
official rules in any way, the winner may be disqualified and the prize forfeited at any time. Travel
restrictions may apply and frequent-flier miles may not be available. Once travel is booked, no changes or
cancellations will be accepted.
All event schedules and admissions and other aspects of the prize may be subject to weather conditions and
changes outside the control of Sponsor. Sponsor is not responsible if all or any portion of the prize is
delayed, postponed or cancelled for any reason, in which event that portion of prize is forfeited in its
entirety and no substitution will be provided, except as in Sponsor’s sole discretion. Sponsor will not
replace any lost, mutilated, or stolen tickets, vouchers or certificates.
Incidental expenses and all other costs and expenses which are not specifically listed as part of a prize in
these official rules and which may be associated with the award, acceptance, receipt and use of all or any
portion of the awarded prize are solely the responsibility of the winner. ALL FEDERAL, STATE AND LOCAL TAXES
ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE SOLELY THE RESPONSIBILITY OF THE WINNER AND WILL BE
BASED ON THE ACTUAL RETAIL VALUE OF THE PRIZE.
ADDITIONAL LIMITATIONS
If the winner refuses to accept a Prize at any time prior to fulfillment of the prize award, Sponsor reserves the right not to award the prize, or time permitting, to award the prize to an alternate winner selected from the next highest scoring Finalist according to the votes cast. Prize is non-transferable. No substitution or cash equivalent of the prize is permitted; however, Sponsor reserves the right to substitute any prize with another of equal or greater value. The Sponsor and Contest Entities and their respective parents, affiliates and subsidiary companies, agents, and representatives are not responsible for any typographical or other errors in the offer or administration of the Contest, including, but not limited to, errors in any printing or posting or these Official Rules, the selection and announcement of any winner, or the distribution of any prize. Any attempt to damage the content or operation of this Contest is unlawful and subject to possible legal action. Sponsor reserves the right to terminate, suspend or amend the Contest, without notice, and for any reason, including, without limitation, if Sponsor determines that the Contest cannot be conducted as planned or should a virus, bug, tampering or unauthorized intervention, technical failure or other cause beyond Sponsor’s control corrupt the administration, security, fairness, integrity or proper play of the Contest. In the event any tampering or unauthorized intervention may have occurred, Sponsor reserves the right to void suspect entries at issue. Contest Entities and their respective parent, affiliate and subsidiary companies, agents, and representatives, and any telephone network or service providers, are not responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunction, lost or delayed data transmission, omission, interruption, deletion, line failure or malfunction of any telephone network, computer equipment or software, the inability to access any website or online service or any other error, human or otherwise.
INDEMNIFICATION AND LIMITATION OF LIABILITY
BY ENTERING THE CONTEST, EACH CONTESTANT AGREES TO INDEMNIFY, RELEASE AND HOLD HARMLESS THE CONTEST ENTITIES
AND THEIR RESPECTIVE PARENTS, AFFILIATES AND SUBSIDIARY COMPANIES, ADVERTISING AND PROMOTIONAL AGENCIES, AND
ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS FROM ANY LIABILITY, DAMAGES,
LOSSES OR INJURY (INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR
EXEMPLARY DAMAGES) WHETHER ARISING IN TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED),
CONTRACT, WARRANTY, STRICT LIABILITY, RELIANCE OR UNDER ANY OTHER THEORY RESULTING IN WHOLE OR IN PART,
DIRECTLY OR INDIRECTLY, FROM THAT CONTESTANT'S PARTICIPATION IN THE CONTEST AND THE ACCEPTANCE, USE OR
MISUSE OF ANY PRIZE THAT MAY BE WON, AND WHETHER OR NOT THE CONTEST ENTITIES HAVE BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. THE CONTEST ENTITIES AND THEIR RESPECTIVE PARENTS, AFFILIATES AND SUBSIDIARY
COMPANIES DO NOT MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, AS TO THE CONDITION, FITNESS OR MERCHANTABILITY OF
ANY PRIZE.

PUBLICITY
By participating in this Contest or accepting a prize, contestant grants Sponsor and its advertising and promotional agencies, and providers and those acting under their permission, the irrevocable and perpetual right to use his/her name, likeness, voice, comments, interviews and essay for advertising and publicity purposes without payment of additional consideration, except where prohibited by law. Without limitation to the foregoing, winner may be photographed and video-taped before, during and after the prize trip, and winner grants Sponsor and its advertising and promotional agencies, and providers and those acting under their permission, the irrevocable and perpetual right to use his/her name, likeness, voice, comments, and any photographs or video or audio footage that may be taken for advertising and publicity purposes in any form of media, now known or hereafter developed or perfected, without payment of additional consideration or acknowledgement. Winner agrees not to engage in any promotional activities on behalf of any competitor of Sponsor or other Contest Entities, whether directly or indirectly.
PRIVACY
Personal information collected from contestants during the Contest is subject to Sponsor’s privacy statement available at www.sharecare.com/static/privacypolicy/ and, except as otherwise provided in these Official Rules, will be treated in accordance with the terms of that statement. Sponsor may engage certain third party companies to perform services in connection with the administration of this Contest and information provided by contestants may be collected and used by those third parties for purposes of administration of the Contest and the fulfillment and verification of prize awards. Contestants may have the opportunity during the Contest to opt-in to receive information, newsletters, or special offers from Contest Entities.
GOVERNING LAW
All issues and questions concerning the construction, validity, interpretation and enforceability of these
official rules, or the rights and obligations of contestants or the sponsors in connection with the Contest,
shall be governed by, and construed in accordance with, the laws of the State of Georgia, without giving
effect to that state’s choice-of-law or conflicts-of-law rules or provisions; exclusive venue and
jurisdiction shall be with federal and state courts located in Georgia.
Contestants agree that: (1) any and all disputes, claims, and causes of action arising out of, or connected
with, this Contest or the acceptance, use or misuse of the prizes awarded, shall be resolved individually,
without resort to any form of class action, and exclusively by the United States District Court for the
District of Fulton County or the appropriate state court located in Fulton County, Georgia; (2) any and all
claims, judgments and awards shall be limited to actual out-of-pocket costs, but in no event including
attorneys' fees, disbursements or court costs; and (3) under no circumstances will contestant be permitted
to obtain awards for, and contestant hereby waives all rights to claim, punitive, incidental and
consequential damages, and any other damages other than for actual out-of-pocket costs.
INTELLECTUAL PROPERTY
The Contest rules and all related web pages, content and code are the property of the Sponsor or authorized third parties.
